Terms of Service
Willydo - operated by DASHOIL THRIVE SDN BHD
Effective Date: 23 September 2026
These Terms of Service ("Terms") govern access to and use of Willydo, including willydo.ai, related applications, dashboards, APIs, integrations, documentation and services provided by DASHOIL THRIVE SDN BHD ("Dashoil Thrive", "Willydo", "we", "us" or "our").
By creating an account, accessing or using Willydo, or accepting an Order Form that incorporates these Terms, you agree to these Terms. If you use Willydo on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and references to "Customer", "you" or "your" include that organisation.
1. Service Description
Willydo is a business software platform that may provide functions relating to customer relationship management, sales, accounting and finance, inventory and warehouse management, marketing and advertising, human resources, operations, reporting and analytics, artificial intelligence, automation and third-party integrations. Features, limits and availability depend on the subscription, deployment, configuration and Order Form applicable to the Customer.
2. Eligibility and Authority
You may use Willydo only if you have legal capacity to enter into a binding agreement or are authorised by an organisation that has entered into the relevant agreement. You must provide accurate account and commercial information and keep it reasonably current.
3. Accounts and Credentials
- Each user must use an authorised account and must protect login credentials.
- Users must not share credentials in a manner that bypasses user, licence or security restrictions.
- Customers are responsible for user provisioning, role assignment and removal of access for people who no longer require it.
- You must notify us promptly of suspected unauthorised access, credential compromise or misuse.
- We may require multi-factor authentication or other security measures for certain features, roles or deployments.
4. Customer Administrators and Tenant Controls
Customers may appoint administrators who can configure tenant settings, invite or remove users, assign roles, connect third-party services, manage permissions and control access to Customer Data. Customer administrators are responsible for ensuring that users are granted only the access reasonably required for their duties.
Willydo may include internal administrative roles used by Dashoil Thrive to operate the service. Such access is subject to the Privacy Policy, applicable agreements and internal access controls.
5. Subscriptions, Order Forms and Enterprise Agreements
Paid features may be purchased through an Order Form, quotation, subscription checkout, Master Agreement or other written commercial document. The applicable document may specify modules, users, usage limits, implementation scope, deployment model, support level, fees, taxes, payment terms, service levels and additional conditions.
If the Customer has signed a Master Agreement, DPA, Order Form or other negotiated agreement with DASHOIL THRIVE SDN BHD, that executed agreement will prevail over these public Terms to the extent of any direct inconsistency, according to the order of precedence stated in that agreement.
6. Licence and Permitted Use
Subject to payment of applicable fees and compliance with these Terms, Willydo grants the Customer a limited, non-exclusive, non-transferable and revocable right during the subscription term to access and use the service for the Customer's internal business purposes and for authorised users, subject to the applicable plan and Order Form.
No source-code licence or ownership right is granted unless expressly agreed in writing. Self-hosted, dedicated or customer-hosted deployments, where offered, are governed by the specific Order Form, licence terms and deployment documentation applicable to that arrangement.
7. Customer Data
"Customer Data" means data, records, files, content or other information submitted, uploaded, connected, generated or otherwise provided to Willydo by or on behalf of a Customer, excluding Willydo technology, system metadata, documentation and our pre-existing intellectual property.
The Customer retains its rights in Customer Data. The Customer grants Willydo only the limited rights necessary to host, copy, process, transmit, back up, restore and otherwise handle Customer Data to provide, secure and support the services and to comply with applicable law and the applicable agreement.
Willydo does not acquire ownership of Customer Data merely because the Customer stores or processes it through the service.
8. Customer Responsibilities
- Ensure it has the legal rights, notices, consents and authority necessary to submit and process Customer Data.
- Configure permissions appropriately and prevent unauthorised users from accessing the service.
- Use the service in accordance with applicable laws, industry rules and contractual obligations.
- Maintain accurate integration credentials and revoke access that is no longer required.
- Review important reports, calculations, automation results and AI outputs before acting on them.
- Maintain any additional backups or business-continuity arrangements required by the Customer's own risk policy unless a separate agreement states otherwise.
9. Acceptable Use
You must not, and must not permit any user or third party to:
- Use Willydo for unlawful, fraudulent, deceptive or harmful activities.
- Access, attempt to access or expose another customer's data without authorisation.
- Circumvent authentication, authorisation, tenant isolation, rate limits or other security controls.
- Upload malware, malicious code or content intended to disrupt systems or compromise users.
- Conduct penetration testing, vulnerability scanning or attack simulation against production systems without prior written authorisation defining scope and conditions.
- Use automated means to overload, degrade or disrupt the service.
- Reverse engineer, decompile or attempt to derive protected source code except to the limited extent such restriction is prohibited by law.
- Use Willydo or its outputs to infringe intellectual property, privacy or other legal rights.
- Resell, sublicense or commercially exploit Willydo except as expressly permitted by an applicable agreement.
10. Third-Party Services and Integrations
Willydo may connect to third-party products, APIs and platforms. By enabling an integration, the Customer authorises Willydo to exchange information with that third party as required to provide the requested function. The Customer is responsible for complying with the third party's terms, obtaining required accounts and permissions, and maintaining valid credentials.
Third-party services are outside our control. We are not responsible for third-party outages, policy changes, API limitations, account suspensions, rate limits, data errors, discontinued endpoints or other third-party acts or omissions. We may modify or discontinue an integration if the third party changes its service, terms, technical requirements or permitted use.
11. Google Services
If you connect Google services to Willydo, you authorise Willydo to access and process only the Google information covered by the permissions you approve and required for the relevant Willydo feature. Willydo's handling of Google user data is described in the Privacy Policy and is subject to applicable Google API policies, including Limited Use requirements where applicable.
You may revoke Willydo's access through your Google Account or through supported Willydo controls. Revocation may cause Google-connected features to stop working.
12. Artificial Intelligence Features
Willydo may provide AI-assisted analysis, recommendations, summaries, content generation, classification, forecasting, workflow automation or other AI features. AI systems are probabilistic and may generate incorrect, incomplete, outdated or unsuitable outputs.
You are responsible for evaluating AI outputs before use and for maintaining appropriate human review, especially where an output may affect financial reporting, taxation, legal obligations, employment, customer commitments, safety or other material decisions. Unless expressly stated in a professional services agreement, Willydo does not provide legal, tax, audit, accounting, investment or other regulated professional advice.
The Customer must not use AI features in a manner that violates applicable law, third-party rights, platform policies or usage restrictions disclosed for the relevant model or provider.
13. Automated Actions and External Platforms
Some Willydo features may allow a user to trigger actions on connected third-party platforms, for example creating, updating, pausing, synchronising or exporting records. The Customer is responsible for reviewing configurations, permissions, thresholds and proposed actions before enabling automation. Where the service provides approval controls, the Customer is responsible for configuring them according to its own governance requirements.
14. Data Protection and Privacy
Our handling of personal data is described in the Willydo Privacy Policy. Where required, the parties may enter into a separate DPA addressing processor obligations, security measures, sub-processors, cross-border transfers, incident notification, deletion and assistance with data-subject requests.
15. Security
We use reasonable technical and organisational safeguards intended to protect the service and Customer Data. Security measures may vary according to deployment and service configuration. The Customer remains responsible for its endpoint security, authorised-user practices, internal identity management and any systems under its control.
No security measure is infallible. The parties will cooperate reasonably in investigating material security incidents affecting the service or Customer Data, subject to the applicable agreement.
16. Support, Maintenance and Service Changes
Support scope, response targets, maintenance obligations and service levels, if any, are determined by the Customer's plan, Order Form or Master Agreement. We may perform scheduled or emergency maintenance, deploy security patches, update infrastructure, modify user interfaces, introduce new functions or retire functions where reasonably necessary.
We will use reasonable efforts to avoid unnecessary disruption and, where practical and commercially reasonable, communicate material planned changes that significantly affect normal use.
17. Fees, Taxes and Payment
Fees are stated in the applicable quotation, Order Form, subscription plan or other commercial agreement. Unless expressly stated otherwise, fees are exclusive of applicable taxes, duties and government charges. Customers are responsible for applicable taxes other than taxes imposed on Willydo's net income.
Late or undisputed unpaid amounts may result in suspension or other remedies where permitted by the applicable agreement and law. Fees for implementation, hosting, support, maintenance, AI usage, third-party services or custom development may be charged separately if specified in the applicable commercial documents.
18. Trials, Free Features and Beta Features
Any free trial, free feature, preview, prototype, beta or experimental feature may be subject to additional limits, may change without notice and may be discontinued at any time. Unless required by law or expressly agreed otherwise, beta or experimental features are provided for evaluation and may have reduced support, availability or reliability commitments.
19. Intellectual Property
Willydo, including its software, source code, architecture, workflows, user interface, design, documentation, trademarks, know-how, databases, templates and other proprietary technology, is owned by DASHOIL THRIVE SDN BHD or its licensors and is protected by applicable intellectual-property laws.
Except for the limited rights expressly granted under these Terms or a signed agreement, no right, title or interest in Willydo is transferred to the Customer. Customer Data remains subject to Section 7.
20. Feedback
If you provide suggestions, ideas or feedback about Willydo, you grant us the right to use that feedback to improve or develop the service without obligation to compensate you, provided that we do not identify the Customer publicly as the source without permission and do not use Customer confidential information contrary to an applicable confidentiality obligation.
21. Confidentiality
Each party may receive non-public information that is confidential by its nature or that is identified as confidential. The receiving party must use reasonable measures to protect such information, use it only for purposes related to the business relationship, and disclose it only to personnel, advisers or service providers who need to know it and are subject to appropriate confidentiality obligations, except where disclosure is required by law.
Confidential information does not include information that the receiving party can demonstrate was lawfully known without restriction, becomes public without breach, is received lawfully from a third party without confidentiality duty, or is independently developed without use of the other party's confidential information.
22. Suspension
We may suspend access to all or part of Willydo where reasonably necessary to address a material security threat, prevent unauthorised access, investigate suspected abuse, comply with law, protect other customers or the service, or address material non-payment in accordance with the applicable agreement. Where reasonably practicable, we will limit a suspension to the affected account, feature or period and provide notice consistent with the circumstances.
23. Term and Termination
These Terms apply while you access or use Willydo. Paid subscriptions continue for the term specified in the applicable commercial document. Renewal and termination rights are governed by the applicable Order Form, subscription plan or Master Agreement.
Upon termination or expiry, the Customer must stop using the terminated service and pay any undisputed amounts due. We may disable access and revoke integrations. Data export, return, retention and deletion will be handled according to the applicable agreement, Privacy Policy and legal requirements.
24. Data Export and Post-Termination Handling
Where export functionality is available, Customers should export data they require before termination. If a signed agreement provides a post-termination export period or specific handover process, that arrangement will apply. We may retain limited information after termination where necessary for legal compliance, security, fraud prevention, backup cycles, dispute resolution or enforcement of agreements.
25. Warranties and Disclaimers
We warrant that we will provide Willydo with reasonable care and skill consistent with the applicable service description. Any additional warranty, acceptance period, defect-remediation commitment or service level is governed by the relevant Master Agreement, Order Form or support agreement.
To the maximum extent permitted by law and except for express written warranties, Willydo is provided on an "as available" basis. We do not warrant uninterrupted operation, that every error will be corrected, that every third-party integration will remain available, that third-party data will be accurate, or that AI-generated content will be error-free or suitable for a particular decision.
26. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profits, revenue, business opportunity, goodwill or anticipated savings, arising from these Terms, except to the extent such exclusion is not permitted by law or a signed agreement states otherwise.
Any aggregate liability cap, exclusion, carve-out or allocation of risk stated in an executed Master Agreement or Order Form will apply in place of or in addition to this Section as specified in that agreement. These Terms do not exclude liability that cannot lawfully be excluded or limited.
27. Indemnity for Unlawful Use
To the extent permitted by law, the Customer is responsible for third-party claims arising from the Customer's unlawful use of Willydo, material breach of the Acceptable Use section, or submission of Customer Data that the Customer had no right to provide, except to the extent the claim results from Willydo's breach of the applicable agreement or law. Any broader indemnity arrangement will be governed by a signed agreement.
28. Force Majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, civil disturbance, government action, widespread telecommunications or cloud-provider failure, labour disruption, epidemic, cyberattack by a third party despite reasonable safeguards, or utility failure, except that this does not excuse payment obligations for services already provided.
29. Changes to These Terms
We may update these Terms from time to time. The latest version will be published at https://willydo.ai/terms-of-service with an updated effective date. For material changes, we will provide notice where required by law or reasonably appropriate. Changes will not retroactively override a negotiated signed agreement unless the agreement itself permits that change.
30. Governing Law and Jurisdiction
Unless an executed agreement states otherwise, these Terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. The courts of Malaysia will have jurisdiction over disputes arising from these Terms, subject to any dispute-resolution procedure agreed in writing between the parties.
31. Notices
Operational, legal or service notices may be delivered through Willydo, by email to the account or commercial contact on record, or by another method stated in an applicable agreement. You are responsible for keeping relevant contact details current.
32. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except as permitted by an applicable signed agreement. We may assign these Terms as part of a merger, restructuring, acquisition or sale of substantially all relevant assets, subject to applicable law and any contractual restrictions.
33. Severability and Waiver
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect and the invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted. A failure to enforce a provision is not a waiver of that provision or any other right.
34. Entire Agreement and Order of Precedence
These Terms, together with the Privacy Policy and any applicable Order Form, Master Agreement, DPA or other incorporated document, form the agreement governing use of Willydo. If an executed agreement contains an order-of-precedence clause, that clause controls. Otherwise, a specifically negotiated signed document will prevail over these public Terms to the extent of a direct conflict, followed by the applicable Order Form and then these Terms.
